End User License Agreement

1. Agreement

This End User License Agreement (“EULA”) is a legal agreement between you and Kinetic Labs Inc. (“we,” “us,” or “our”) for the Homer mobile application (“the App”). By installing or using the App, you agree to be bound by this EULA. If you do not agree, do not install or use the App.

2. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on devices that you own or control, strictly in accordance with this EULA and our Terms of Service.

3. License Restrictions

You agree not to:

• Copy, modify, or distribute the App or any portion of it
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App
• Rent, lease, lend, sell, sublicense, or otherwise transfer the App or your rights under this EULA
• Remove, alter, or obscure any proprietary notices on the App
• Use the App for any purpose that is unlawful or prohibited by this EULA

4. Ownership

The App is licensed, not sold. Kinetic Labs Inc. retains all right, title, and interest in and to the App, including all intellectual property rights. This EULA does not grant you any rights to our trademarks, service marks, or trade names.

5. Subscriptions and In-App Purchases

The App offers a paid subscription (“Homer Pro”) available as a monthly in-app purchase at $29 per month. Payment is charged to your Apple ID account upon confirmation of purchase. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. You can manage and cancel subscriptions in your device’s account settings.

6. Third-Party Services

The App integrates with third-party services including AI providers, payment processors, and communication platforms. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

7. Disclaimer of Warranties

The App is provided “as is” and “as available” without warranties of any kind. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components.

8. Limitation of Liability

To the maximum extent permitted by law, Kinetic Labs Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App. Our total liability shall not exceed the amount you paid for the App or subscription in the 12 months preceding the claim.

9. Termination

This EULA is effective until terminated. We may terminate your license at any time if you fail to comply with any term of this EULA. Upon termination, you must cease all use of the App and delete all copies from your devices.

10. Apple-Specific Terms

If you downloaded the App from the Apple App Store, the following additional terms apply:

• This EULA is between you and Kinetic Labs Inc., not Apple. Apple is not responsible for the App or its content.
• The license granted is limited to use on Apple-branded products that you own or control, as permitted by the App Store Terms of Service.
• Apple has no obligation to provide maintenance or support for the App.
• In the event of any failure to conform to an applicable warranty, you may notify Apple for a refund of the purchase price (if any). Apple has no other warranty obligation.
• Apple is not responsible for any claims relating to the App, including product liability, regulatory compliance, or intellectual property infringement.
• Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce it against you.

11. Governing Law

This EULA is governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.
